About the role

M&A due diligence involves reviewing thousands of contracts in a virtual data room under extreme time pressure — typically 4-6 weeks to review 10,000+ documents. Law firms staff 15-20 junior associates on a deal, each reading contracts 14 hours a day looking for red flags: change of control clauses, assignment restrictions, unusual indemnification terms, and pending litigation disclosures. Our automation platform cuts that review time by 60%. You'll build the red flag detection models that scan contracts for provisions that could affect deal value: non-standard termination triggers, uncapped liability clauses, restrictive non-compete language, and IP ownership ambiguities. Each detected flag includes a severity rating, an extracted quote, and a plain-language explanation for the deal team. This is a 12-month contract. You'll work with a senior M&A attorney who defines the red flag taxonomy and validates model output against their deal experience.

Responsibilities

  • Build red flag detection models for M&A contract review
  • Identify non-standard provisions affecting deal value and risk
  • Generate severity ratings and plain-language explanations for each flag
  • Validate detection accuracy against attorney-reviewed deal room documents
  • Expand the red flag taxonomy as new deal patterns emerge
  • Support deal teams with real-time detection during active transactions

Requirements

  • 5+ years in NLP with legal or contract analysis experience
  • Experience with long-document classification and extraction
  • Strong Python skills with LLM orchestration frameworks
  • Understanding of M&A transaction structure and contract terminology
  • Ability to work under deal-driven timelines
