AI Smart Contract Clause Extraction Developer

Eleanor Rossi

Full-time · Job · Chicago

About the role

Commercial contracts are structured around clauses: the payment terms, the indemnification limits, the termination conditions, the governing law, the limitation of liability. A contract review that can automatically extract and classify these clauses — and compare them against a company's standard clause library or negotiation playbook — transforms a 4-hour legal review into a 20-minute exception-based review where lawyers focus on the non-standard clauses that actually require judgment. Our document intelligence platform processes 120,000 contracts per year for corporate legal departments at 28 enterprise clients. Clause extraction is our most-requested enhancement: clients want not just metadata about the contract but structured extraction of the specific clause types that matter to their legal team, with enough contextual precision that the extracted clause can be compared against their clause library without manual re-reading. You'll build the clause extraction system: training models that identify clause boundaries in complex contract layouts, classifying clauses against a standard taxonomy of commercial contract clause types, extracting key clause parameters (obligation party, trigger conditions, monetary limits), and building the clause comparison interface that surfaces deviations from client clause standards.

Responsibilities

  • Train clause boundary detection models identifying discrete clause structures within complex contract document layouts
  • Build clause type classification covering the standard commercial contract clause taxonomy
  • Implement parameter extraction identifying obligation parties, trigger conditions, and monetary limits within clauses
  • Develop clause comparison interface surfacing deviations from client standard clause libraries
  • Handle multi-jurisdiction contract variations where clause structures and standard terminology differ
  • Validate extraction accuracy against lawyer review outcomes as ground truth

Requirements

  • 6+ years in NLP engineering with legal document processing, information extraction, or enterprise NLP experience
  • Strong Python and transformer model fine-tuning skills with named entity recognition and span extraction
  • Understanding of commercial contract structure, legal clause taxonomy, and contract negotiation context
  • Experience building extraction systems that achieve precision high enough for professional use cases
  • Ability to work with legal domain specialists on clause taxonomy and extraction validation

Benefits

  • Fully remote with flexible schedule
  • Comprehensive health benefits
  • $4,000 annual professional development budget
  • Equity participation
  • Bonus tied to client contract review time reduction
